General conditions

We deliver only on the basis of the following conditions which are considered as accepted with any order placement and are decisive for the future business relationship and to be followed by the purchaser. Meanderings, including the ones sent by the purchaser when placing an order, which contradict the present conditions require an explicit written confirmation of the supplier. Supplier and purchaser disclaim the exception of any oral additional agreement.


Prices

All prices are net prices plus taxes in EURO and exclude any packaging.


Payment

Our outstanding bills are to be paid within 30 days after the invoice date and we grant a discount of 2% on the gross value when paid within 10 days. If you pay by cash on delivery you will get a total of 5% discount on the net value plus 8.49 EUR fee. When paying via bank collection we subtract a discount of 5% of the net value. Special prices are excluded from this.


Orders

Description, article number and size are to be named exactly. The images and physical dimensions in our catalog and in offers are only approximate and not binding, not even if stated so. On order values under 75.00 EUR we raise an extra pay of 5.00 EUR. Order values of 250.00 EUR and more are delivered free of carriage charges. Otherwise we will charge 4.35 EUR for the freight plus tax.

Our wares are delivered from our stock in Eschweiler. We always ship the wares at invoice and risk of the purchaser (quantity attribution, prior sale and delivery opportunities excluded). All shipments are made with reservation of proprietary rights: until the delivered wares are fully paid they remain our property, of which we already have a claim against the delivery to third parties. A disposition of the delivered wares apart from the proper business operations as well as forfeiting or chattel mortgage must not take place in this time. Place of execution and place of jurisdiction is Eschweiler in Germany.


Claims

We do not assume liability for loss or damage that occurs during the transportation. Transport damages and loss are to be reported to the freight forwarder or parcel service immediately.

  • We can accept any other claims only immediately until a maximum of 8 days after receipt of the wares.
  • Return of wares are only accepted after previous consultation. Discontinued articles are excluded from the right to return.

ORINA takes responsibility for material defects as following:
All deliveries (including partial ones) which show a defect during the limitation period are replaced or re-adduced free of charge by the choice of ORINA if the cause for the defect was already present at the time of the transfer of perils. Defect-claims become time-barred after 24 months. The purchaser has to inspect the shipment immediately after receipt regarding defects and losses and has to report any flaws within 14 calender days to ORINA in written form. If the purchaser misses the inspection or the timely report of flaws, the shipment is counted as valid, except if the flaw was not visible during the inspection. Defects which are discovered later on also have to be reported to ORINA immediately, otherwise the wares are counted as valid regarding defects. Delivery times are always for information only and without responsibility. An order withdrawal can only take place when both sides agree.


Delay in delivery

Force majeure which decreases or hinders the production and delivery free us from the binding force of the timely delivery and authorizes us to partially or fully step back from the contract without giving the buyer the right of compensation. Force majeure also includes the the insufficiency of materials which are necessary for the production. Compensation requirements of any kind, especially for delayed delivery and for absence of profit, cannot be respected. Special fabrications require a longer delivery time. Any dates according these delivery times are always to be considered as approximate. Withdrawal of special fabrications is not possible.
